Antler Financial LLC's liability to the Client is limited to the total fees paid by the Client in the three (3) months immediately preceding the event giving rise to the claim. Antler Financial LLC shall not be liable for any indirect, incidental, consequential, special, or punitive damages of any kind, including but not limited to lost profits, lost revenue, or loss of business opportunity, even if advised of the possibility of such damages. This limitation applies to all claims, whether based on contract, tort, statute, or any other legal theory.
Antler Financial LLC provides bookkeeping and financial reporting services based on information provided by the Client. Antler Financial LLC does not guarantee any specific financial outcome, tax result, audit result, or business performance. The accuracy of reports and financial statements is dependent upon the completeness and accuracy of records and information provided by the Client. Antler Financial LLC is not a licensed CPA firm and does not provide tax advice, legal advice, or investment advice unless explicitly stated in a separate written agreement.
Antler Financial LLC agrees to maintain the strict confidentiality of all Client financial data, records, and business information. Such information will not be disclosed to any third party without the Client's prior written consent, except as required by law or court order. Antler Financial LLC employs reasonable security measures to protect Client data. In the event of a data breach, Antler Financial LLC will notify the Client promptly and take reasonable steps to mitigate harm.
By signing below, the Client authorizes Antler Financial LLC to charge the agreed monthly service fee on a recurring basis on the first business day of each month. The initial monthly rate is the starting price selected; final pricing will be confirmed in writing prior to the first charge. The Client may cancel services with 30 days written notice. No refunds are issued for partial months of service. Late payments are subject to a 1.5% monthly service charge. Antler Financial LLC reserves the right to suspend services for accounts more than 30 days past due.
This agreement is governed by the laws of the State of Utah. Any disputes shall be resolved through binding arbitration in Salt Lake County, Utah. If any provision of this agreement is found to be unenforceable, the remaining provisions shall remain in full force and effect. This agreement constitutes the entire understanding between the parties and supersedes all prior negotiations or representations. Antler Financial LLC reserves the right to update service terms with 30 days written notice to the Client.
